Terms & Conditions

These are the terms and conditions of eSource, an Evros brand. Please read them carefully as through conducting transactions on this Website, you are agreeing to our terms and conditions. Your existing statutory rights are not affected by these conditions.

1. Definitions

"Customer" means an individual who is acting on behalf of his/her business or organisation.

"eSource" is understood as eSource, the company, and is also referred to as "we" or "us" or "our" in these terms and conditions.

“Goods” means an individual product including software as described on our Website.

“Services” means any service or support provided by eSource to you, the customer.

“Order” means an order placed by you for Goods or Services in accordance with these terms.

"Normal Working Days" means 8am to 6pm, Monday to Friday, excluding Bank Holidays or other public holidays.

2. Quotations

Quotations received by the Customer are an invitation to treat; an expression to negotiate only. Prices and delivery dates are viable for seven Normal Working Days from the date of quotation.

3. Orders

Each order placed on this website shall not be considered formalised until it is accepted by eSource. Orders expressed in verbal or written form will not be considered formalised until it is processed through the necessary channels. eSource is entitled to refuse any order placed by the Customer.

4. Payment

By placing an order with eSource, the Customer understands that his/her credit or debit card will be used in the order transaction. It is understood that there are sufficient funds or credit facilities to purchase the order, and that authorisation has been given to purchase the order. eSource reserves the right to implement validation of your credit or debit card details before providing you with any Goods or Services.

Purchase of Goods and Services can be made by credit card via Paypal. Credit terms of eSource require payment within 30 days from the date of the invoice, with the exception of transactions where different terms as agreed upon between eSource and the Customer in writing.

Credit notes issued by eSource must be used within the period of one year, from the initial date of issue. eSource retains its full right to cancel a credit note past the 12-month period, and the Customer will not be reimbursed. If a Customer fails to utilise a credit on its eSource balance within 12 months, eSource retain the right to cancel the credit.

5. Prices

All prices quoted are in Euro which exclude VAT, delivery and installation. Goods and Services, together with VAT, are invoiced at the price specified on the website at the time of order. We reserve our right to modify the prices of our Goods and Services at occasional points in time.

6. Promotions/Special Offers

Goods and Services that have become promotional or are being advertised as a special offer must be in available in stock at the time of placing the Order. We reserve the right to withdraw any promotion or special offer without notice, at any time. Promotions on our Website will not be available to our customers with special pricing, unless specifically permitted by eSource.

7. Delivery and Damage

At eSource, the minimum order value for free delivery is €50, while €5 will be charged for delivery on anything under that value. eSource shall deliver Goods and Services ordered by the Customer through reasonable transport channels upon the agreed delivery date. eSource does not accept any liability for delayed delivery, when the circumstances are beyond reasonable control. If delays are expected, eSource will contact the Customer to alert of the delay.

The Customer must sign upon delivery of Goods and Services to acknowledge proof of delivery, and accept the responsibility to ensure there is no discrepancy in the Order. We are not liable for any discrepancy of the Order if the Customer has signed off on delivery.

Liability for damage of goods during transport will be not be placed with eSource if the customer fails to make contact within 24 hours of receipt of delivery.

If the Customer fails to accept the delivery of Goods or Services, we retain the right to:

a. Redeliver the Goods and Services at the expense of the Customer

b. Store and insure the Goods and Services at the Customer’s expense and risk

c. Resell the Goods and Services and pay the Customer the balance after deducting any storage or insurance charges

8. Cancellation, Warranties & Returns

If you choose to cancel your order with eSource prior to the delivery of said order, the Customer must express the cancellation in written form to the eSource Product Specialist. It will be at the discretion of eSource whether we, the company, decide to take back the Goods, or not. If eSource, at the company's own discretion, permits to accept the return of unwanted Goods in return for Customer credit, the Goods must be returned within 5 days of delivery, unopened and unused by the Customer, and in perfect re-saleable condition. If Goods or Services received by the Customer from eSource are defective or faulty, we will offer a full refund in conjunction with the manufacturer’s warranty and documentation. On unwanted goods or goods ordered in error a restocking fee of 15% applies.

9. Liability

During transactions with its Customers, under no circumstances will eSource be held liable for indirect or any consequential damage or loss, however caused, which includes, and is not restricted to: damage to trading relationships, loss of profits or business, loss of goodwill, loss of data, and other financial loss outside of Returns (see Warranties & Returns section). eSource may be liable to refund its customers, part of, or the whole of the invoiced amount if the Goods or Services are faulty or defective, only.

10. Force Majeure

We retain the right to cancel or defer the transaction of Goods and Services to the Customer, by reason of delay or failure to deliver due to circumstances beyond eSource’s control. Example: An act of God, explosion, flood, fire or accident, epidemic, power failure, industrial dispute, war etc.

11. Trademarks

eSource acknowledges the intellectual property rights of suppliers and manufacturers of Goods on our Website. Goods and Services images are provided for illustrative purposes only and the actual Goods and Services you receive may differ from the image displayed in the catalogue or on our website, especially with generic products.

12. General Terms of Business

We, the company will make every effort to respond to the Customer query via phone, email or post within 48 hours of the receipt of any such query. In regard to Customer complaints, eSource will make every effort to respond within three Normal Working Days and update the Customer on the process.

If any provision of these Terms and Conditions have been found in dispute by competent jurisdiction to be invalid, illegal, or voidable, it will not affect the remaining terms and conditions of the document. If any variation of our Terms and Conditions has been agreed by eSource, the variation must be expressed in written form by an authorised eSource official.

In the event of a dispute between the Customer and eSource, the Customer agrees to submit to the jurisdiction in writing under the Arbitration Act 1996 for the time being in force as a legally binding alternative to court action.
